1. SPONSOR & ADMINISTRATOR
   Sponsor: JJAM Holdings Inc. (“Sponsor”)
   Administrator: Elite Digital Inc. (“Administrator”)
   
   Sponsor owns the Riverside Grill property located at 1016 South St Dover-Foxcroft, ME, United States, Maine 04426 (the “Property”) that is offered as the prize. Administrator is responsible for marketing, entry collection, and logistical support. Administrator is not the owner or seller of the Property and disclaims all liability in connection with the transfer or ongoing operation of the Property.
   
   By participating, each participant agrees to be fully unconditionally bound by these Official Rules, and represent and warrant that said participant meets the eligibility requirements set forth herein. In addition, each participant agrees to accept the decisions of Sponsor as final and binding as it relates to the Contest (as defined below).
2. CONTEST PERIOD
   The Riverside Grill “Win a Restaurant” Contest (“Contest”) begins on May 20, 2025, at 12:00:01 PM Eastern Time (ET) and ends on September 1, 2025, at 11:59:59 PM ET (the “Contest Period”). All entries must be received by 11:59:59 PM ET on September 1, 2025, to be eligible.
3. ELIGIBILITY
   The Contest is open to anyone who is at least 18 years of age as of the date of entry. It is void where prohibited or restricted by law. If any law, ordinance or regulation prevents participation in or awarding of this Contest, Sponsor reserves the right to disqualify any affected entrant at its sole discretion.
   
   Employees, officers, directors, agents, and representatives of the Sponsor, Administrator, their respective affiliates, subsidiaries, advertising or promotion agencies, and all other entities involved in the administration or fulfillment of this Contest, as well as their immediate family members (spouse, parent, child, sibling, and their respective spouses) or persons living in the same household, are not eligible to enter or win. The Contest is subject to all applicable federal, state and local laws and regulations.
4. HOW TO ENTER
   1. Paid Entry
      Visit the Contest website at https://riversidegrillrestaurant.com/.
      1. Complete the official Contest entry form.
      2. Pay the US $100 (non-refundable) entry fee via PayPal (plus applicable taxes/fees, if any).
      3. Submit written responses, in English, to the questions in Section 5.
   2. No Purchase Necessary (Canada Only)
      To comply with Canadian law, Canadian residents may enter without paying the entry fee by mailing:
      1. A hand-printed or typed letter containing your full name, address, valid email, and phone number, plus your responses (in English) to the skill questions in Section 5.
      2. Mail in a stamped envelope labeled “Riverside Grill Contest – NPN Entry” to:

      3. Must be postmarked by September 1, 2025, and received by September 8, 2025.
   
   Multiple entries are permitted. Each paid entry requires a separate US $100 (non-refundable) entry fee via PayPal. Each no-purchase entry (Canadian residents only) requires a separate mailed submission that meets all requirements.
5. SKILL-BASED QUESTIONS & ENTRY FORMAT
   Entrants must submit original written responses to the following three (3) questions:
   • Vision: Describe your vision for Riverside Grill and how you plan to ensure its long-term success.
   • Business Feasibility: Detail your plan to profitably operate Riverside Grill, including management, marketing, and customer experience.
   • Community Impact & Passion: Explain how you will integrate Riverside Grill into the local community and demonstrate your passion for the restaurant industry.
   
   Maximum Word Count: 500 words per question. Sponsor reserves the right to disqualify any entry that exceeds this limit or contains inappropriate, offensive, or irrelevant content.
6. JUDGING & WINNER SELECTION
   • Initial Review (Pre-Screening): After the Contest Period expires, all eligible entries will be reviewed for completeness and eligibility.
   • Final Judging: A judging panel comprised of local retired teachers (the “Judging Panel”) will score each qualified entry based on the following weighted criteria (total of 100 points):
     • Creativity & Originality: 40 points
     • Business Plan Feasibility: 30 points
     • Community Integration & Passion: 30 points
   • Potential Winner: The entry with the highest combined score will be the potential winner (“Potential Winner”). In the event of a tie, Sponsor and the Judging Panel may re-evaluate tied entries using Creativity & Originality as a tiebreaker.
   • Decisions Final: All decisions of the Sponsor and Judging Panel are final and binding.
7. WINNER NOTIFICATION & CANADIAN SKILL TEST
   • Notification: The Potential Winner will be notified by email or phone on or around October 1, 2025, and must respond within 5 business days to confirm eligibility and acceptance. Failure to respond or comply will result in disqualification, and Sponsor may select an alternate winner. Each of Sponsor and Administrator shall have no liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information.
   • Canadian Skill Test: If the Potential Winner is a Canadian resident, they must correctly answer a time-limited, mathematical skill-testing question without assistance before being confirmed as the winner.
8. PRIZE & CONDITIONS
   Prize: One (1) winner will receive ownership of the Riverside Grill property (including building, land, equipment, furnishings, and inventory) plus a US $10,000 credit with local vendors (collectively, the “Prize”). An equipment and inventory list (the “Equipment List”) is provided in Exhibit A for reference.
   • Approximate Fair Market Value (FMV): may be determined by an independent appraisal paid for by the Potential Winner.
   • Transfer: The Prize is awarded “as is,” with no warranties or representations (except as required by law). The Potential Winner assumes all costs associated with property ownership, including but not limited to property taxes, transfer taxes, recording fees, insurance, utilities, and any business licenses.
   • Tax Remittance Prior to Transfer: The Potential Winner must remit any required federal, state/provincial, or local taxes or withholdings (if applicable) before taking title to the Property.
   • No Guarantee of Future Performance: Sponsor makes no guarantee regarding the future revenues, expenses, or profits of Riverside Grill. Past financial performance is not indicative of future results, and the Potential Winner is solely responsible for all operational and financial decisions.
   • Timeline: Transfer must be completed within 90 days of winner confirmation or as agreed with Sponsor.
   • Violation of Rules: ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE CONTEST AND ALL PRIVILEGES AND POTENTIAL WINNER WILL BE IMMEDIATELY TERMINATED.
   • No Substitution: The Prize is non-transferable, non-exchangeable, and has no cash value, except at Sponsor’s sole discretion.
9. REFUND POLICY IF CONTEST IS CANCELLED
   If the Sponsor, in its sole discretion, cancels the Contest prior to awarding the Prize, Sponsor will refund all paid entry fees (via PayPal, minus any transaction fees if applicable) that were received before the cancellation date. Refunds will be processed within a reasonable time. Sponsor shall have no further liability relating to the Contest in that event.
10. REAL ESTATE DISCLOSURES
    Additional real estate disclosures may be required by applicable law, such as property condition reports or environmental disclosures. These will be provided to the Potential Winner prior to transfer, if required by applicable law.
11. PERMISSIVE USE / PUBLICITY
    Except where prohibited by law, entry in this Contest constitutes each entrant’s consent for Sponsor (and its agents, affiliates, and designees) to use the entrant’s name, likeness, business name (if applicable), and any opinions or statements submitted for promotional, advertising, or marketing purposes in any media worldwide, without further payment or consideration.
12. RIGHT TO CANCEL, MODIFY, OR DISQUALIFY
    If for any reason the Contest (or any portion of it) is not capable of running as planned due to technical or administrative problems, computer viruses, bugs, tampering, unauthorized intervention, fraud, or other causes beyond Sponsor’s or Administrator’s reasonable control, Sponsor reserves the right to cancel, terminate, modify, or suspend the Contest and/or disqualify any individual who tampers with the entry process or otherwise attempts to undermine the lawful operation of the Contest. Sponsor is not obligated to refund entry fees except as noted in Section 9.
13. RELEASE & LIMITATION OF LIABILITY
    
    • Release: By entering, participants release and agree to hold harmless Sponsor, Administrator, and their respective parents, subsidiaries, affiliates, officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from any liability, loss, damage, or claims arising from or related to this Contest or the acceptance, use, or ownership of any prize.
    • Administrator Disclaimer: Administrator (Elite Digital Inc.) disclaims all liability regarding real estate transfer, property condition, appraisals, or financial obligations related to the Prize. Sponsor bears exclusive responsibility for awarding and transferring the Property.
    • No Warranty: The Released Parties make no warranties, express or implied, regarding the Prize, including its condition, merchantability, or fitness for a particular purpose.
    • Limitation of Liability: In no event shall the Released Parties be liable for any indirect, incidental, consequential, or special damages, including lost profits, even if advised of the possibility thereof. The Released Parties’ total liability shall not exceed the amount paid (if any) by the entrant to enter this Contest.
    • Third-Party Platforms: If the Contest is advertised or conducted on social media or another platform, participants acknowledge that such platform is not affiliated with, endorsing, or administering this Contest, and participants release that platform from any liability relating to the Contest.
    • International Participation: Entrants from outside the United States acknowledge and accept all legal, logistical, and financial risks related to cross-border property ownership, including but not limited to, legal residency status, tax implications, title transfer restrictions, and compliance with U.S. and local laws. The Released Parties shall not be responsible for any costs, delays, or inability to claim the Prize due to international legal constraints.
    • Judging Process Disclaimer: Participants acknowledge that all judging decisions are made at the discretion of the Sponsor and judging panel and are considered final and binding. By entering, participants waive any claims related to the judging methodology, scoring outcomes, or selection process.
14. PRIVACY POLICY
    Personal information collected through this Contest is subject to the Sponsor’s and Administrator’s respective privacy policies. These policies outline how personal data is collected, stored, and used. Links to these policies will be provided on the Contest website.
15. TAXES
    All taxes, duties, and fees on the Prize are the sole responsibility of the winner.
    • U.S. Residents: The Sponsor may issue an IRS Form 1099 for the value of the Prize. The winner must provide any required tax forms (e.g., W-9).
    • Canadian Residents: Canadian winners may owe income taxes or other cross-border taxes related to U.S. property ownership.
    • Global Residents (Outside the U.S. and Canada): International winners may be subject to additional taxes, duties, or legal requirements in both the United States and their country of residence. These may include, but are not limited to, property ownership restrictions, foreign asset reporting, cross-border tax liabilities, and U.S. tax obligations under FIRPTA (Foreign Investment in Real Property Tax Act) or similar laws. The winner is solely responsible for complying with any applicable legal, tax, immigration, or financial obligations associated with accepting and owning real property in the United States.
    Winners should consult a qualified tax professional.
16. GENERAL DISPUTES / CHOICE OF LAW
    • Governing Law: All issues relating to the Contest or these Official Rules shall be governed by the laws of the State of Maine, without regard to conflict of law principles.
    • Forum & Venue: Any suit or proceeding arising out of these Official Rules or the Contest must be brought exclusively in the state or federal courts located in Maine. Participants submit to the personal jurisdiction of such courts.
    • Class Action Waiver: Except where prohibited, entrants agree that any disputes will be resolved individually, not as part of a class or consolidated action.
    • Waiver of Jury Trial: EACH PARTY KNOWINGLY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY ACTION RELATED TO THE CONTEST.
17. WINNER’S LIST / OFFICIAL RULES
    • Winner’s List: The name (first name, last initial) and city of the confirmed winner may be posted on the Contest website after winner verification.
    • Official Rules: Available on the Contest website at https://riversidegrillrestaurant.com/.
